These Terms and Conditions govern the relationship between Synaptizen, a trading name operated by Consulting Forge SL (Castellana 164-166, 28046 Madrid, Spain), hereinafter “Synaptizen”, and any individual or organisation (“the Client”) that accesses our website or engages our services.
By using our website or entering into a service agreement with Synaptizen, you accept these Terms in full. If you do not agree, please do not use our website or engage our services.
1. About Us
Synaptizen is a systems architecture and software engineering firm operated by Consulting Forge SL, a company registered in Spain. We provide services including AI deployment, data pipeline design, systems integration, platform development, and related technical consultancy.

2. Scope of Services
2.1 Services are provided under one or more of the following engagement models: fixed-scope project with agreed deliverables and price, time and materials billed at agreed hourly or daily rates, and ongoing retainer for a defined scope of work over a recurring period.
2.2 The specific scope, deliverables, timeline, and commercial terms for each engagement are defined in a separate written agreement, statement of work, or proposal issued by Synaptizen and accepted by the Client. In the event of any conflict between these Terms and a specific agreement, the specific agreement prevails.
2.3 Synaptizen reserves the right to decline any engagement at its sole discretion, including where the scope is not technically feasible, where the Client’s existing infrastructure presents unacceptable risk, or where the engagement is not aligned with our working methodology.
3. Client Responsibilities
3.1 The Client agrees to provide Synaptizen with accurate, complete, and timely information necessary to deliver the agreed services, including access to relevant systems, documentation, and personnel.
3.2 Delays caused by the Client’s failure to provide required information, access, or decisions will not be considered a breach by Synaptizen and may result in revised timelines or additional costs, which will be communicated in writing before being applied.
3.3 The Client is responsible for maintaining appropriate backups of their data and systems prior to and during any engagement. Synaptizen recommends that a full backup is performed before any integration, deployment, or modification work begins.
3.4 The Client is responsible for ensuring that any data, systems, or third-party services they provide to Synaptizen for use in an engagement are legally authorised for that purpose.
4. Fees and Payment
4.1 Fees are as agreed in the relevant proposal or service agreement. All fees are exclusive of applicable taxes unless stated otherwise.
4.2 Invoices are payable within 30 days of the invoice date unless a different payment term is agreed in writing.
4.3 For fixed-scope projects, Synaptizen may require a deposit prior to commencing work. The amount and terms of any deposit will be stated in the proposal.
4.4 Synaptizen reserves the right to suspend work on any engagement where payment is overdue by more than 15 days, following written notice to the Client.
4.5 In the event of a dispute regarding an invoice, the Client must notify Synaptizen in writing within 10 days of the invoice date. Undisputed portions of an invoice remain payable within the standard payment terms.
5. Intellectual Property
5.1 All intellectual property created by Synaptizen specifically for the Client as part of a fixed-scope engagement transfers to the Client upon full payment of all outstanding fees related to that engagement, unless otherwise agreed in writing.
5.2 Synaptizen retains ownership of all pre-existing intellectual property, methodologies, frameworks, tools, and know-how used in delivering services. Nothing in these Terms grants the Client a licence to such materials beyond what is necessary to use the agreed deliverables.
5.3 The Client grants Synaptizen a limited licence to use the Client’s systems, data, and materials solely for the purpose of delivering the agreed services.
5.4 Synaptizen may reference the Client relationship for portfolio or business development purposes unless the Client requests otherwise in writing.
6. Confidentiality
6.1 Both parties agree to treat as confidential any non-public information disclosed by the other party in connection with an engagement, and to use such information only for the purposes of that engagement.
6.2 This obligation does not apply to information that is publicly available, was already known to the receiving party prior to disclosure, or is required to be disclosed by law or regulatory authority.
6.3 This confidentiality obligation survives termination of any engagement for a period of three years.
7. Data Processing
7.1 Where Synaptizen processes personal data on behalf of the Client in the course of delivering services, Synaptizen acts as a data processor and the Client acts as the data controller, as defined under the General Data Protection Regulation (GDPR).
7.2 Synaptizen agrees to process such personal data only on the documented instructions of the Client, to implement appropriate technical and organisational security measures, and to assist the Client in meeting its obligations under applicable data protection law.
7.3 Where a specific engagement involves the processing of personal data belonging to the Client’s end users or customers, the parties agree to execute a Data Processing Agreement prior to commencing that work. Please contact legal@synaptizen.com to request this document.
7.4 The Client warrants that it has a lawful basis for sharing any personal data with Synaptizen and that such sharing complies with applicable data protection legislation.
8. Limitation of Liability
8.1 Synaptizen will perform all services with reasonable skill and care. However, we do not guarantee specific outcomes, performance targets, or results unless explicitly stated in a written agreement.
8.2 Synaptizen is not liable for any loss, damage, or disruption arising from:
- Failures, outages, or changes in third-party systems, platforms, APIs, or services that are outside Synaptizen’s control, including but not limited to cloud providers, payment processors, and software vendors.
- Decisions made by the Client or its staff based on deliverables, reports, recommendations, or advice provided by Synaptizen.
- Delays, errors, or omissions resulting from incomplete, inaccurate, or late information provided by the Client.
8.3 In no event will Synaptizen’s total liability to the Client, whether in contract, tort, or otherwise, exceed the total fees paid by the Client to Synaptizen in the three months preceding the event giving rise to the claim.
8.4 Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
9. Warranties and Disclaimers
9.1 Synaptizen warrants that it has the right to enter into service agreements and that the services will be performed by suitably qualified personnel.
9.2 Except as expressly stated in these Terms or in a specific written agreement, all services are provided on an “as is” basis. Synaptizen makes no warranties, express or implied, regarding fitness for a particular purpose or uninterrupted operation of any deliverable.
9.3 The Client acknowledges that software and infrastructure projects involve inherent uncertainty and that estimates of timeline, cost, or performance are given in good faith but are not guarantees.
10. Termination
10.1 Either party may terminate an engagement by giving written notice as specified in the relevant service agreement. Where no notice period is specified, 30 days written notice applies.
10.2 Synaptizen may terminate an engagement with immediate effect if the Client materially breaches these Terms and fails to remedy the breach within 10 days of written notice, or if the Client becomes insolvent or enters into any form of administration or liquidation.
10.3 Upon termination, the Client remains liable for all fees for work completed up to the date of termination. Synaptizen will deliver to the Client all completed or partially completed work product upon receipt of outstanding payment.
10.4 Clauses 5, 6, 7, and 8 survive termination of any engagement.
11. Changes to These Terms
Synaptizen reserves the right to update these Terms at any time. Any changes will be posted on this page with a revised effective date. For active engagements governed by a specific written agreement, the Terms in force at the time the agreement was signed will apply for the duration of that engagement unless both parties agree otherwise in writing.
12. Governing Law and Jurisdiction
12.1 These Terms are governed by the laws of Spain. Any disputes arising from or related to these Terms or any engagement with Synaptizen will be subject to the exclusive jurisdiction of the courts of Madrid, Spain.
12.2 Where the Client is located in the United Kingdom, both parties agree that disputes may also be resolved through the courts of England and Wales, at the election of the Client.
12.3 Nothing in this clause prevents either party from seeking urgent injunctive or interim relief in any jurisdiction where necessary to protect their legitimate interests.
13. General
13.1 These Terms constitute the entire agreement between the parties regarding their subject matter and supersede any prior representations, discussions, or agreements.
13.2 If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force and effect.
13.3 Failure by either party to enforce any right under these Terms does not constitute a waiver of that right.
13.4 Neither party may assign its rights or obligations under these Terms without the prior written consent of the other party.
